Contract Years 4/1/19-3/31/48 Storage MSQ increases to 5,730,000; MDIQ to 32,743; and MDWQ to 127,333 Firm Storage Reservation Charge: The Contract Year is the period April 1 through March 31. The Firm Storage Reservation Charge in dollars per Dth per Month for each Contract Year of this Agreement shall be the sum of (i) the Base Reservation Charge and (ii) the True-up Surcharge: i) Base Reservation Charge (BRC). The Base Reservation Charge in dollars per Dth per Month for each Contract Year of this Agreement will be as noted. ii) True-Up Component (TUC). The TUC will be an adjustment to the BRC, positive or negative, that is determined annually on or before April 1 for the preceding calendar year (the “True-Up Period,” except that the First True-Up Period shall run from the date of this Agreement through December 31, 2018). The TUC is equal to the product of (a) the Gross Revenue Conversion Factor and the incremental difference between (b) the Income Requirement for the True-Up Period and (c) BLUEWATER’s actual Net Income for the True-Up Period. In the period April 1, 2019 through March 31, 2020 (“Year 2”) and each Contract Year thereafter, the True-Up Surcharge (TUS) will be equal to the TUA divided by Customer’s MSQ during the True-Up Period divided by twelve (12). The TUS will be added to the BRC each month of the Contract Year following the Contract Year on which the TUC was calculated. For the avoidance of doubt, no TUS will be added to the BRC in the period April 1, 2018 through March 31, 2019 (“Year 1”); the TUC calculated on Year 1 will be assessed as a TUS in Year 2, and so on.
