3.4 ESNG Agreement. CUC DE shall comply with, and perform, its obligations as shipper under the ESNG Agreement in accordance with the terms thereof, and shall not, without CUC MD's advance written consent, grant any waiver of any material term or give any material consent under or with respect to the ESNG Agreement except that CUC DE may temporarily amend the receipt and delivery points used during the Term under the ESNG Agreement. Neither party shall, without the prior written consent of the other, seek or agree to amendments or modifications of any kind to the ESNG Agreement to the extent such amendments or modifications would negatively affect the Released Capacity
